Who these terms apply to
These Terms of Service ("Terms") are a legal agreement between you and Enspirit Technology Services ("Enspirit," "we," "us," or "our"). Enspirit is incorporated in Texas, USA and operates from Austin, TX and Hyderabad, India.
By visiting enspirit.co or using any of our products or services, you agree to these Terms. If you are using our services on behalf of a company or organisation, you confirm that you have authority to bind that company to these Terms.
If you do not agree with any part of these Terms, do not use our services.

Our services
Enspirit provides the following services and products:
Design and engineering services
We design, engineer, and ship production software for enterprise teams and funded startups. This includes product design, engineering, AI integration, design systems, and advisory work. Services are delivered under separate agreements or statements of work.
AURA Product
AURA is an AI-orchestrated release confidence platform. It produces a Release Confidence Score for software releases by validating across API, backend state, UI, and data integrity layers. You connect AURA to your software environment and use its outputs to evaluate release readiness. AURA does not make release decisions for you. It gives you information to inform your decisions.
Tenet Product · Coming soon
Tenet is a design governance product that captures why design decisions were made and surfaces that context when new decisions happen. It connects to Figma and builds an institutional memory of your design system. Tenet is currently in development. Access is by early-access agreement only.
Rekindle Service-product
Rekindle is an AI-native codebase modernisation engagement. We bring legacy codebases under AI-native development practices: test coverage, reduced dependencies, and Designer+AI workflows. Rekindle is delivered as a scoped engagement under a separate agreement.

Using our products
When you access or use any Enspirit product, you agree to use it only as intended and only in ways that comply with these Terms, your agreement with us, and applicable law.
Our products are designed for professional and enterprise use. They are not consumer products. You are expected to have the technical knowledge and organisational authority to evaluate and act on the outputs they produce.
Access to AURA and Tenet is provided through a subscription or agreement. You may not share access credentials or grant access to third parties without our written consent.

AI and automated outputs
AURA, Tenet, and Rekindle use artificial intelligence and automated systems to produce outputs such as release confidence scores, design violation reports, test coverage analysis, and recommendations.
- AI outputs are informational. They assist human decision-making but do not replace it. You are responsible for evaluating outputs before acting on them.
- Outputs may not always be accurate. AI systems can produce incorrect, incomplete, or misleading results. Always verify outputs that affect important decisions.
- Similar inputs may produce similar outputs for different users. Outputs are not guaranteed to be unique to your environment.
- We do not use your data to train AI models. Your product data, codebase data, and design system data remain yours. We describe this fully in our Privacy Policy.
Enspirit makes no warranty that AI outputs will be error-free, complete, or fit for any particular purpose. See Section 10 (Warranties and disclaimers) for the full position on this.
You are responsible for how you use, interpret, and act on AI-generated outputs. Enspirit is not liable for decisions you make based on those outputs.

Your data and content
You own your data
Any data, code, design files, configuration, or other content you provide to us when using our products ("Your Content") remains yours. We do not claim ownership over it.
How we use Your Content
We use Your Content only to provide and improve the services you have purchased or agreed to. Specifically:
- For AURA: we process your release data, API schemas, UI states, and test results to produce Release Confidence Scores.
- For Tenet: we process your design files, component data, and decision records to build and surface institutional design memory.
- For Rekindle: we process your codebase, dependencies, and test infrastructure to execute the modernisation engagement.
We do not sell Your Content. We do not share Your Content with third parties except as described in our Privacy Policy or required by law.
We do not train AI on your data
We do not use Your Content to train, fine-tune, or improve any AI model — ours or anyone else's. This applies to all three products without exception.
Your responsibility for your data
You are responsible for ensuring you have the right to provide us with any data or content you submit. You are also responsible for ensuring that your use of our products complies with your own privacy obligations to your end users and employees.

Intellectual property
Enspirit's IP
Enspirit owns all rights in and to its products, software, algorithms, models, documentation, visual assets, and brand. Nothing in these Terms transfers any of those rights to you. You receive a limited, non-exclusive, non-transferable licence to use our products as described in your agreement with us.
Your IP
You retain all intellectual property rights in Your Content and in any software, design system, or codebase you provide to us. When we produce deliverables for you under a services engagement, ownership of those deliverables is governed by your separate services agreement with Enspirit.
Outputs
Reports, scores, and other outputs our products generate based on Your Content are considered your data for the purposes of these Terms. We do not claim ownership over them.
Feedback
If you share feedback, suggestions, or ideas with us about our products, we may use them to improve our services without compensation or attribution to you. You grant us a perpetual, royalty-free licence to use such feedback.

Accounts and access
If you create an account to access our products, you are responsible for keeping your login credentials secure. You must notify us immediately if you suspect unauthorised access to your account at security@enspirit.co.
You may not share account access with people outside your organisation or use our products in a way that allows multiple organisations to benefit from a single subscription without our written consent.
We reserve the right to suspend or terminate access if we reasonably believe an account has been compromised or is being misused.

Payment
Fees for our products and services are set out in your order, subscription agreement, or statement of work. Unless otherwise agreed:
- Subscription fees are billed in advance on the agreed billing cycle.
- Services fees are billed as set out in the relevant statement of work.
- All fees are in US dollars unless otherwise agreed in writing.
- Fees are non-refundable except as required by law or as expressly agreed in your specific agreement.
If payment is overdue, we may suspend access to our products until the account is settled. We will give reasonable notice before doing so.

Acceptable use
You agree not to use Enspirit's products or services to:
- Violate any applicable law or regulation, including privacy laws and export controls.
- Infringe the intellectual property rights of any third party.
- Introduce malicious code, viruses, or anything designed to disrupt or damage our systems.
- Attempt to reverse-engineer, decompile, or extract the source code or model architecture of any Enspirit product.
- Attempt to reconstruct or infer training data used in any AI model we provide.
- Use our AI outputs to train, fine-tune, or build a competing AI model or product.
- Scrape, crawl, or systematically extract data from our products or website without our consent.
- Use our services to process data about individuals without appropriate legal basis, consent, or authority.
- Misrepresent AI-generated outputs as the result of human work in contexts where disclosure is required.
- Take any action that would disrupt the availability or integrity of our products for other users.
We may suspend or terminate access if we determine, in our reasonable judgement, that these rules are being violated.

Warranties and disclaimers
We build and maintain our products with care. But we cannot guarantee everything, and we need to be clear about that here.
What we do commit to
We will provide our services with reasonable skill and care. We will work to resolve material issues within a reasonable timeframe. If you have a separate services agreement with us, its specific commitments take precedence over these general terms.
What we do not guarantee
To the maximum extent permitted by law, our products and services are provided "as is." We make no warranty, express or implied, that:
- Our products will be error-free, uninterrupted, or available at all times.
- AI-generated outputs will be accurate, complete, or suitable for your specific use case.
- Our products will meet all of your requirements or integrate without issue with all third-party systems.
- Results obtained through our products will meet your quality or business expectations.
You are responsible for evaluating whether our products are appropriate for your use, and for verifying any AI outputs before using them to make decisions.

Limitation of liability
To the maximum extent permitted by applicable law:
- Enspirit's total liability to you for any claim arising out of or relating to these Terms or your use of our services will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.
- Enspirit will not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business opportunity, or reputational harm, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

Termination
Either party may terminate an agreement or subscription by providing notice as set out in the relevant agreement. In the absence of a specific agreement:
- You may close your account at any time by contacting us at contact@enspirit.co.
- We may suspend or terminate your access if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.
- We may terminate your access immediately if your use poses a security risk or legal risk to us or other users.
On termination, your right to use our products ends. We will handle your data as described in our Privacy Policy, including providing you with a reasonable opportunity to export your data before deletion.

Changes to these terms
We may update these Terms from time to time. When we do, we will update the effective date at the top of this page and notify active users by email at least 30 days before material changes take effect.
If you continue to use our services after updated Terms take effect, you are considered to have accepted the changes. If you do not accept the changes, you should stop using our services and notify us so we can discuss your situation.

Governing law and disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions.
We prefer to resolve disputes through direct conversation first. If you have a dispute with us, please contact us at contact@enspirit.co and we will try to resolve it within 30 days.
If a dispute cannot be resolved informally, it will be settled by binding arbitration under the rules of the American Arbitration Association, unless you are located in a jurisdiction where applicable law requires a different dispute resolution process. Class action waiver: you agree to resolve disputes with Enspirit on an individual basis, not as part of a class action.
Courts in Travis County, Texas will have exclusive jurisdiction for any matters not subject to arbitration.
